Terms of Service

These Terms of Service ("Terms") govern your use of Relay. By signing up for or using Relay, you agree to these Terms.
1. What Relay is — and what it isn't
Relay is a software tool that helps licensed attorneys send referrals, track case progression, and document fee-sharing agreements with other attorneys.
Relay is not:
- A lawyer referral service (as defined by state bar rules).
- A law firm.
- A provider of legal advice.
- A guarantor of any referral's outcome or any fee being paid.
Fee agreements created or managed in Relay are between the attorneys (and their clients), not between Relay and anyone. Relay does not control the terms of those agreements and is not responsible for their enforcement.
2. Eligibility
You must be a licensed attorney in good standing in at least one U.S. jurisdiction to create an account. We verify bar credentials before activation. Misrepresentation of credentials is grounds for immediate account termination.
3. Your responsibilities
- Comply with all applicable rules of professional conduct in your jurisdiction(s), including ABA Model Rule 1.5(e) (or your state's equivalent) on fee-splitting.
- Obtain client consent before sharing client information through Relay.
- Keep your account credentials secure.
- Provide accurate information.
- Use Relay only for lawful purposes.
4. Subscription, founding-member offer, and billing
The first 50 firms to sign up receive 12 months of Pro free ("Founding Member" benefit). After the free period, continued use requires a paid subscription unless you cancel.
We will notify you at least 30 days before any charge. You can cancel at any time from your account settings.
5. Referral and Earn program
If you refer another attorney who signs up and upgrades to a paid plan, you receive a credit of one free month of your current plan. Credits are discounts on your Relay subscription, not referral fees, and are issued only to a Relay account holder.
6. Confidentiality of client information
You retain all rights to client information you submit. We treat client PII as confidential, encrypt it at rest, and access it only as needed to operate the service or as required by law.
7. Intellectual property
Relay's software, design, content, and trademarks are owned by Relay, Inc. You retain ownership of content you submit. You grant us a limited license to host and display your content as needed to operate the service.
8. Termination
You can delete your account anytime. We may suspend or terminate accounts that violate these Terms or applicable law.
9. Disclaimer of warranties
Relay is provided "as is." We do not warrant that it will be uninterrupted, error-free, or that it will meet any particular legal compliance standard for your jurisdiction. You remain solely responsible for your compliance with bar rules.
10. Limitation of liability
To the maximum extent permitted by law, Relay's total liability to you for any claim related to the service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
11. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Disputes are subject to binding arbitration in Wilmington, DE, except where prohibited by law.
12. Changes
We may update these Terms. Material changes will be communicated by email. Continued use after a change indicates acceptance.
